Welcome to GR Fuel. These Wholesale Terms & Agreement (“Agreement”) govern all wholesale purchases made through our B2B platform, website, or direct sales channels. By placing a wholesale order with us, you agree to the terms outlined below.
1. ELIGIBILITY
Wholesale accounts are intended for registered businesses, retailers, resellers, and authorized distributors only. We reserve the right to approve or reject any wholesale application at our discretion.
2. MINIMUM ORDER REQUIREMENT
- Minimum opening order: $20,000
- Minimum reorder amount: $40,000
Orders below the required minimum may not be processed.
3. PRICING
All wholesale prices are provided in USD and are subject to change without prior notice. Prices displayed exclude applicable taxes, customs duties, shipping charges, and other applicable fees unless stated otherwise.
4. PAYMENT TERMS
We accept payments via approved payment methods listed on our platform.
Unless otherwise agreed in writing:
- All wholesale orders must be paid in full before dispatch.
- Orders will only be processed once payment confirmation is received.
Late or failed payments may result in delayed shipments or suspension of the wholesale account.
5. SHIPPING & DELIVERY
Shipping timelines are estimates only and may vary depending on inventory availability, customs processing, carrier delays, or unforeseen circumstances.
Customers are responsible for:
- Providing accurate shipping information
- Import duties and customs fees (if applicable)
- Any local taxes or regulatory charges
Risk of loss transfers to the buyer once the order has been handed over to the shipping carrier.
6. RETURNS & EXCHANGES
Wholesale orders are generally considered final sale.
Returns or exchanges are only accepted for:
- Defective items
- Incorrect shipments
- Damaged products reported within [3–7] business days of delivery
Approved returns must be unused and in original packaging.
7. PRODUCT AVAILABILITY
Inventory availability is subject to change without notice. We reserve the right to:
- Limit quantities
- Discontinue products
- Cancel or partially full fill orders if stock becomes unavailable
8. RESALE POLICY
Wholesale customers may resell products through approved sales channels only. Products may not be resold on unauthorized marketplaces, auction platforms, or third-party websites without prior written approval.
9. INTELLECTUAL PROPERTY
All trademarks, logos, product images, descriptions, and branding materials remain the exclusive property of GR Fuel. Unauthorized use, reproduction, or modification is prohibited.
10. ACCOUNT SUSPENTION
We reserve the right to suspend or terminate wholesale accounts that:
- Violate these terms
- Engage in fraudulent activity
- Misrepresent our products or brand
- Fail to comply with pricing or resale policies
11. LIMITATION OF LIABILITY
GR Fuel shall not be liable for any indirect, incidental, or consequential damages arising from the use or resale of our products.
Our total liability shall not exceed the total amount paid for the affected order.
12. GOVERNING LAW
This Agreement shall be governed by and interpreted in accordance with the laws of United State of America.
13. UPDATES TO TERMS
We reserve the right to update or modify these terms at any time without prior notice. Continued use of our wholesale services constitutes acceptance of the updated terms.
